Terms of Service
The terms that govern use of the Chrysopoeic Solutions website and services.

Note: These Terms provide a general framework. Specific engagements are governed by a separate Service Agreement. We recommend seeking independent legal advice before entering into any services agreement.
Agreement
These Terms of Service ("Terms") govern your use of the Chrysopoeic Solutions website (chrysopoeic.com) and any services provided by Chrysopoeic Solutions ("we", "us", "our"), operated by Rob Valdes. By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please do not use our website or services.
Services
Chrysopoeic Solutions provides technical leadership and software development services under the "Tech Department as a Service" model, operating on a Build, Operate, Transfer (B.O.T.) basis. The specific scope, deliverables, fees, and duration of any engagement are defined in a separate Statement of Work or Service Agreement entered into between us and the client. These Terms govern the general relationship; the Service Agreement governs the specifics of each engagement.
Website Use
You may use our website for lawful purposes only. You must not: • Use the website in any way that breaches applicable local, national, or international law. • Attempt to gain unauthorised access to any part of our website or its infrastructure. • Transmit any unsolicited commercial communications. • Scrape, copy, or reproduce website content without our written permission.
Intellectual Property
All content on this website — including text, graphics, logos, and code — is owned by or licensed to Chrysopoeic Solutions and is protected by applicable intellectual property law. For client engagements, intellectual property ownership is governed by the relevant Service Agreement. Unless otherwise agreed in writing, code, documentation, and other deliverables produced during an engagement are transferred to the client upon full payment of all fees, including any applicable knowledge transfer fee.
Confidentiality
We treat all client information as confidential. We will not disclose your business information, technical details, or proprietary data to third parties without your consent, except where required by law. We may reference the existence of an engagement for general marketing purposes (e.g. "we work with early-stage startups") but will not identify you by name or describe your product without your explicit written permission.
Payment
Fees for services are set out in the relevant Service Agreement. Unless otherwise agreed: • Monthly retainer fees are invoiced at the start of each calendar month and payable within 14 days. • The knowledge transfer fee is invoiced upon commencement of the handoff process and payable within 30 days. • Late payments may incur interest at 8% per annum above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
Limitation of Liability
To the fullest extent permitted by law, Chrysopoeic Solutions shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services, including but not limited to loss of revenue, loss of data, or business interruption. Our total liability for any claim arising out of or in connection with our services shall not exceed the total fees paid by you in the three months preceding the claim. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Termination
Either party may terminate an engagement in accordance with the notice period set out in the relevant Service Agreement. Upon termination, any fees accrued up to the termination date remain payable. We reserve the right to terminate or suspend access to our website at any time without notice.
Governing Law
These Terms and any dispute arising from them are governed by the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
We may update these Terms from time to time. The effective date at the top of this page will be updated accordingly. Continued use of our website after changes constitutes acceptance of the updated Terms.
